1. Acceptance of Terms
By accessing or using VibeGate ("Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.
2. Platform Description
VibeGate is a marketplace platform that enables event organizers to create, manage, and sell tickets for events. We provide the technology platform and payment processing infrastructure but are not the organizer, promoter, or host of any events listed on our platform.
3. User Accounts and Responsibilities
3.1 Event Organizers
Event organizers must provide accurate information, comply with all applicable laws, and are solely responsible for their events, including content, pricing, refund policies, and event execution.
3.2 Customers
Customers may purchase tickets with or without creating an account. When purchasing tickets, customers agree to the specific terms set by the event organizer.
4. Payment Processing
Payment processing is handled through Stripe Connect. By using our platform, you agree to Stripe's terms of service. We collect platform fees as disclosed during the transaction process. Event organizers are responsible for their own tax obligations.
5. Marketplace Model and Platform Liability
Important: VibeGate operates as a technology marketplace platform. We are not event organizers, promoters, or hosts. We do not control, endorse, or assume responsibility for any events, event organizers, or event content on our platform.
Event organizers are independent contractors responsible for their events. Any disputes regarding events, tickets, refunds, or event policies should be resolved directly with the event organizer.
6. Indemnification
Event organizers agree to indemnify, defend, and hold harmless VibeGate, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) their use of the platform, (b) their events, (c) violation of these Terms, or (d) violation of any third party's rights.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBEGATE'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
IN NO EVENT SHALL VIBEGATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
8. Dispute Resolution
8.1 Binding Arbitration
Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
8.2 Class Action Waiver
YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. You may only resolve disputes with us on an individual basis.
9. Prohibited Uses
Users may not use the platform for illegal activities, to sell tickets for events they do not have rights to, to engage in fraudulent activities, or to violate any applicable laws or regulations.
10. Termination
We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the platform ceases immediately.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our platform. Your continued use constitutes acceptance of the modified Terms.
